A special resolution was duly passed in the Extraordinary General Meeting held on 22 March 2024:
“The amended and restated articles of association of Wah Yan College, Kowloon Past Students’ Association Limited (the “Association”), be and is hereby approved and adopted in substitution for and to the exclusion of the existing articles of association of the Association with immediate effect and any member of the executive committee of the Association be and is hereby authorised to do all such acts, deeds and things and execute all such documents and make all such arrangements that he shall, in his absolute discretion, deem necessary or expedient to give effect to the adoption of the amended and restated articles of association of the Association, including without limitation, attending the necessary filings with the Registrar of Companies in Hong Kong.”was resolved to amending the Articles of Association including the changes as discussed and agreed.
